Kosovo Trust Agency is tasked to privatise Socially Owned Enterprises in Kosovo
through the methods of spin-off and liquidation. Investors are invited to
buy through open competitive tender the NewCos (new companies) created with
the essential assets and some limited liabilities of the SOEs listed below.
THE KOSOVO TRUST AGENCY
The KTA, as trustee pursuant to UNMIK Regulation 2002/12, as amended by UNMIK Regulation 2005/18 (the “KTA Regulation”), has concluded from its analysis of documentation and other evidence in relation to the entities/assets set out below that such entities/assets fall within its jurisdiction pursuant to the KTA Regulation.
NewCo AC 23 Nëntori Old bakery – Stan Trg L.L.C. - includes land with a surface of 469 m² (0.0469ha ) and 240m² of buildings located in this plot of land .
NewCo Farm Barel/Barel - AC 23 Nëntori L.L.C. -includes 436,700m² (43 ha 67are ) of pasture land in the location of Barel/Barel near the Bajgorë/Bajgora village in Mitrovicë/a municipality.
NewCo Farm Selac/Seljance - AC 23 Nentori L.L.C. - includes 9,243,378 m² (924 ha 33 are ) of pasture land in the village of Selac/Seljance in Mitrovicë/a municipality.
NewCo Cycavica Warehouse Llamarina L.L.C. - is in an outstanding location (next to the train station) in Vushtrri/Vučitrn. It includes a site with a surface area of about 2,089m² (20are 89m²) with various buildings covering an area of about 821m² (8are 21m²)
NewCo Akllap Agricultural Land L.L.C. - comprises of agricultural area of approximately 21 hectares and is located in Akllap village, around 10 km from Lipjan/Lipljan town and 20 from Prishtinë/Priština city.
NewCo Topliçan Land Agricultural Land L.L.C. - comprises of agricultural area of approximately 61 hectares and is located in Toplican village , around 5 km from Lipjan/Lipljan town and 25 from Prishtinë/Priština city.
NewCo Drithnaja Land L.L.C. - offers the opportunity to acquire a land plot located in the prime area of Prishtina where business development is taking place. The total surface of the land that is subject of this tender is approx. 5,400 m² which includes four building structures of approx. 1,306 m².
NewCo SEK-KOS Administration L.L.C. - offers the opportunity to acquire a commercial space in a prime location in Prishtina. The offered premises comprise a site with a surface area of approx 389 m²; including two buildings with a total surface of approx 160 m². The location provides an excellent opportunity for the development of retail and wholesale activities.
NewCo SEK-KOS Industrial Zone L.L.C. - offers a land of approx 6,250 m² in a very attractive area of the Prishtrinë/Pristina industrial zone. The location provides an excellent opportunity for the development of retail and wholesale activities in the growing economy of Kosova.
NewCo Duhani Green Building L.L.C. - offers to a potential investor the opportunity to acquire a land and building in a prime location, near to the Assembly of Kosovo Prishtinë/Pristina and National Theatre. The total area of the land and building that is subject of this tender consists of 524 m² including a small garage. Currently, the premises that are subject of this tender are rented to the Restaurant “Boss”.
NewCo Ingeniering Tregu Shops L.L.C. - provides an opportunity to acquire five shops in the centre of Prishtinë/Priština. The shops are located in first and second floor of Shopping Center, situated near the Green Market, Maliq Pashë Gjinolli Str, Prishtinë. The total area of shops is approximately 59 m². The shops appear to be in good state of repair and currently empty.
NewCo Ingeniering Warehouse L.L.C. - provides an opportunity to acquire a parcel of land of 277 m² and a warehouse of approximately 244 m². The NewCo is located in Lidhja e Prizrenit Str, Prishtinë. The warehouse appears to be in good state and it is rented to a private company.
NewCo Ingeniering Industrial Zone L.L.C. - provides an opportunity to acquire a parcel of land of area of approx. 5,937 m², located within the Industrial Zone of Prishtina. The on site warehouse provides for approx 2,500m² of storage and approximately 130 m² of office space. The warehouse appears to be in good state of repair and currently rented to private companies.
NewCo Ingeniering Dardania Salloni L.L.C. - provides an opportunity to acquire a shop of approximately 253 m². It is located in basement of block of flats. The shop appears to be in a good state of repair and is situated in Dardania, Mulla Idriz Gjilani Str, Prishtinë.
NewCo Ingenering Dardania Shop L.L.C. - provides an opportunity to acquire a shop of approximately 807m². The shop appears to be in a good state and is situated in basement block of flats BL-7 in Dardania, Ilaz Kodra Str, Prishtinë. Currently it is rented on a commercial basis.
NewCo Urata Depot te Hekurudha L.L.C. - provides potential investors provides potential investors with an excellent opportunity to acquire an operating warehouse of approx. 2,052 m² commercial space located on a plot of land of approx. 1,092 m² in Prishtinë/Priština. The warehouse is divided in four units, of which three are currently let. The property appears to be in a very good condition
NewCo Urata Depot No. 86 L.L.C. - provides potential investors with an excellent opportunity to acquire an operating commercial property of approx. 5,604m² in a prime location in the centre of Prishtinë/Priština. The tendered unit comprises buildings of approx. 998m², warehouse space of approx. 578m² located in a land parcel of approx. 5,604 m².
NewCo “Bujku” L.L.C. - this is a well established and vibrant agricultural market for locally produced livestock, crops, fruits and vegetables in a strategic location close to the Serbian border. It has excellent potential for further commercial development, due to its popularity with the region’s farmers and the local community, who are keen to support the enterprise and its development.
NewCo Morava e Epërme “Perls of Viti” L.L.C. - provides an excellent opportunity to purchase eight shops: six located in the main shopping area of town and two in outlying villages all suitable for trading, or renting to retailer outlets for business income. Total area of the shops is approximately 610 m².
NewCo Kinemaja Gjilan L.L.C. - the main business of the Subsidiary is showing of commercial films in its auditorium with 220 seats. Also the auditorium can be used for different activities like presentations, party meetings, election campaigns etc. A café bar business can be conducted in the entrance of the cinema and during summer season also in the open area in front of the building.
NewCo Mirusha Transport L.L.C. Klinë/Klina - offers land (1.00.29 ha) and premises (a floor surface of 1,229 m²) located in a single compound having a prime location in Klinë/Klina city. The site is suitable to re-start the traditional activities of the SOE, namely transport, civil engineering and vehicle maintenance services or to start any other commercial activities.
NewCo NT Deçan/Dečani Admin Building and Warehouse L.L.C. - is located in the town of Deçan/Dečani and offers a plot of land with a surface area of approximately 8.51 are. It includes an administrative building and warehouse premises with a total floor area of approximately 297 m².
NewCo Factory of Metallic Elements L.L.C. - which is located in Klinë/Klina town, offers a plot of land with a surface area of appromimately 4 ha and premises with a total floor area of 7,203 m². It also includes various items of machinery for the production of metallic components.
NewCo Taphane Market L.L.C. - offers a site of aapproximately 60 are which is used as an outdoor market. The site is located in a prime location in the centre of Pejë/Peć town with good commercial prospects.
NewCo Armature Factory Deçan/Dečane L.L.C. - is located in Deçan/Dečane town, offers a plot of land with a surface area of approximately 62 are and premises with a total floor area of 1,500 m².
NewCo Dardania Centre L.L.C. - offers a plot of land with an area of approximately 64 are and includes buildings with a floor area of approximately 800 m². The plot is located in the Pejë/Peć Industrial Zone. All the fixed assets and operating assets needed for re-starting the former operations of the enterprise for Transport Services will be included in the tender.
NewCo Piston Pump Factory L.L.C. - offers an investor the opportunity to acquire the premises and various items of manufacturing equipment of a factory, which formerly produced Piston Pumps. The NewCo includes the factory building which is of steel construction (significantly damaged) with a surface area of approximately 3,240 m², and an administrative building constructed of bricks and concrete with a surface area of approximately 1,043 m². All buildings are located on a plot of land with a total area of about 2.4 ha.
NewCo Station for Plant Protection L.L.C. - is located on a plot of land with a surface of 6 are in the centre of Pejë/Peć. This tender includes a former administration building (P+2) with a surface area of 240 m². The building is in generally good condition.
NewCo Agimi - Shops Complex 1 L.L.C. - offers an investor the opportunity to acquire three shops with about 156 m², 129 m² and 134 m² located in the town of Gjakovë/Đakovica.
NewCo Agimi - Shops Complex 2 L.L.C. - offers an investor the opportunity to acquire two shops with about 171 m² and 140 m² located in the town of Gjakovë/Đakovica.
NewCo Agimi - Shops Complex 3 L.L.C. - offers an investor the opportunity to acquire two shops with about 163 m² and 466 m² located in the town of Gjakovë/Đakovica.
NewCo Agimi - Shops Complex 4 L.L.C. - offers an investor the opportunity to acquire two shops with about 77 m² and 60 m² located in the town of Gjakovë/Đakovica.
NewCo Agricultural Land Zajm L.L.C. - offers to investors the opportunity to buy about 157 ha of agricultural land in Municipality of Pejë/Peć. The land is suitable for the cultivation of crops and vegetables.
NewCo “Transporti” L.L.C. - includes the main location located in Prizren on a site of approximately 4.931m² (00.49.31 Ha) and which includes offices, repairing base and parking hale with a total surface area of approximately 970 m². Currently, seven warehouses are leased to third parties while two warehouses are in use by the Enterprise’ workers.
NewCo “Dardania” Business Premise in Prizren L.L.C. - offers a complex composed of two offices and one reception, with a total surface of 72 m², has prime location in the historical centre of Prizren
NewCo Travel Agency “Dardania” shop in Prishtina L.L.C. - offers a complex composed of two units (one as a Disco Bar and another as a travel agency), with a total surface of 395.17m², located in attractive part of Prishtina town called “Dardania” and it is a part of the commercial centre called “Kurrizi”.
NewCo Artizanati Prizren L.L.C. - that will be offered , is on main location and has a surface of 0.1893 hectares , consisting of a building complex with shops and other facilities situated in the central part of Prizren. The building has a surface of approximately 2,500m² and is divided into a production, a warehousing and an administrative area currently used by the CommCo as well as 24 shops of various sizes.
NewCo “Prizrenmarket Jeronim De Rada” L.L.C. - comprises a retail and warehouse complex in central Prizren, which is divided into one office building, five warehouses and eight shops at present. Currently two warehouses and all shops are leased to third parties whilst the office building is in use by the Enterprise.

NewCo NBI Suhareka L.L.C. - offers one of Kosovo’s main wine producers located in the Suhareka/Suvareka region. The Enterprise owns an extensive range of equipment for all stages of wine production. This principal equipment has been installed on the premises of the winery in Suhareka. Its production facilities comprise the necessary technology to produce average consumption wines. With the appropriate investment in equipment and machinery, there is an opportunity to expand the range of products towards medium quality wines. The Enterprise owns vineyards with a total surface of approximately 1,100 hectares, of which approximately 600 hectares are active and in production and the remaining 500 hectares are considered unoperational. These vineyards are spread out over 5 production areas in the Suhareka region.
NewCo Mulliri Fabrika e Bukës - Ferizaj L.L.C. - offers the opportunity to acquire a bread factory. This unit includes one bakery with a capacity of 2,000 breads/hour, a smaller bakery with a capacity of 1,000 breads/hour and machinery to produce small bread rolls. The land offered has a total surface of approx. 25892 m² and includes several buildings such as a production hall of 1000 m², an administration building, flour silos (360 MT) and grain silos (13,000 MT).
NewCo IMK L.L.C. - produces steel welded pipes and is one of the largest and best-known such enterprises in south-eastern Europe. Products of this enterprise are of high quality and in accordance with international standards. IMK Enterprise has a high potential to expand and improve its current operations.

For this NewCo the Date will be Determined
NewCo Bauxite Mine in Volljak L.L.C. - bauxite operations were initiated in 1966 and have exploited a series of bauxitic lenses with overlying limestone which occur in the area of Klina. The bauxite resources have been mined from a series of open pits, and traditionally were trucked approximately 3 km to an open storage area where they were subsequently loaded into railcars. Ore reserves (using the A, B, C1 socialist categorization) are in the region of 1.7 million tones of bauxite grading between 46.7 and 52%. Resources (c2, D, indicated0 are in the region of 4 million tones of bauxite. Associated limestone overburden totals approximately 40 million tones. This limestone sufficiently pure to traditionally be sold to the Trepca and Feronikeli smelters.
In accordance with the KTA Regulation and KTA/UNMIK policy, the KTA proposes to sell the assets of such entities or the assets (together in certain cases, with certain liabilities) through the KTA's privatisation programme. Any persons who believe that they have a valid claim against such entities or assets (including, though not limited to, (i) claims that they believe that they are the lawful owners of any such entities or assets or part thereof or their valid successors and (ii) creditors) should file such claim, together with full explanations and all supporting documentation with the KTA, without delay.
The KTA intends to carry out such sales of such entities/assets by (i) way of spin-off privatisation (transferring assets and, in certain cases certain liabilities, to a newly incorporated company) and then by a follow-up liquidation process or (ii) selling, by way of auction assets as part of a liquidation process.
In the liquidation process, KTA will analyse claims filed and the associated supporting documents in order to determine to whom payments from the sales proceeds should be made in accordance with Applicable Law. It should be noted that, pursuant to Applicable Law, it is likely that 20% of the sale proceeds will first be paid to “eligible workers”, followed by land ownership claimants, secured and unsecured creditor s and then owners of the entities where the entities are determined to have been transformed in accordance with Applicable Law and in a non-discriminatory manner.
The KTA will not adjudicate claims as a quasi-judiciary or administrative body; therefore filing a claim with the KTA, which the KTA strongly encourages potential claimants to do, does not prevent a potential claimant from also filing a claim with the Special Chamber of the Supreme Court of Kosovo, nor from judicially contesting any KTA decision in an appropriate court.
